Terms of Service

Welcome, and thank you for your interest in Shape (“Shape,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of Shape's desktop application, website, dashboard, APIs, documentation, MCP integrations, Skills marketplace, and related services (collectively, the “Service”). By creating an account, downloading Shape, or otherwise using the Service, you agree to these Terms.
Please also read our Privacy Policy, which explains how we collect, use, disclose, and process personal data.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Service.
1. Access and use
1.1 Provision of access
Shape is a developer environment that combines a local code editor, source control, AI-assisted coding tools, and cloud-connected account features. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal development purposes.
1.2 Your content
You may provide inputs to the Service, including prompts, files you choose to include in a chat session, configuration, and other materials (“Inputs”). The Service may return code suggestions, messages, edits, or other outputs based on your Inputs (“Outputs”). Inputs and Outputs are collectively “Content.” You retain ownership of your Inputs and, to the extent permitted by law, Outputs generated for you. We do not claim ownership of your source code or projects stored locally on your machine.
By submitting Inputs, you represent that you have all rights, licenses, and permissions necessary for us to process them under these Terms and to provide the Service to you. You grant us a limited license to host, process, transmit, and display Content solely to operate, secure, and improve the Service, comply with law, and enforce these Terms.
1.3 AI features and limitations
AI features are powered by third-party and first-party machine learning models. Outputs are generated automatically and may be inaccurate, incomplete, insecure, or similar to content provided to other users. You are solely responsible for reviewing, testing, and validating any Output before relying on it or incorporating it into your work. Shape does not guarantee that Outputs are correct, non-infringing, or suitable for any particular purpose.
Unless you have explicitly opted in to training or improvement programs described in the Service or our Privacy Policy, we will not use your Content to train machine learning models for general use by third parties.
1.4 Local and cloud features
Many editor and git features operate locally on your device. AI chat, billing, account management, catalog browsing, and certain integrations require an internet connection and an active Shape account. We may change which features require connectivity at any time.
1.5 Acceptable use
Except to the extent prohibited by applicable law, you may not: (i) reverse engineer, decompile, or attempt to derive the source code of the Service except as allowed by law; (ii) copy, modify, or create derivative works of the Service; (iii) rent, resell, sublicense, or provide the Service to third parties except as expressly permitted; (iv) circumvent usage limits, credit systems, authentication, or security controls; (v) probe, scan, or test the vulnerability of the Service without authorization; (vi) use the Service to develop or train a competing product through model extraction or similar attacks; (vii) harvest or scrape data from the Service; (viii) use the Service to generate or distribute illegal, harmful, harassing, or infringing content; (ix) submit regulated data such as protected health information or payment card data unless we have agreed in writing to support that use case; or (x) permit any third party to do any of the foregoing.
1.6 Beta and preview features
We may offer experimental, beta, or early-access features. Such features are provided “as is,” may be modified or discontinued at any time, and may be subject to additional terms presented in the Service. Your use of beta features is at your own risk.
1.7 Automated actions
The Service may suggest or apply edits, run tools, or execute commands on your behalf when you explicitly approve those actions. You are responsible for reviewing changes before committing, deploying, or sharing them. Enabling automatic execution features, where available, is at your sole risk.
2. Eligibility
You must be at least 13 years old, or the minimum age required in your jurisdiction to consent to data processing, whichever is higher, and able to form a binding contract. By using the Service, you represent that you meet these requirements, have not been suspended or removed from the Service, and will comply with all applicable laws.
3. Account registration and security
To access most features, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials, passkeys, API tokens, and devices associated with your account. You accept responsibility for all activity under your account. Notify us promptly through Contact if you believe your account has been compromised.
We may require email verification, multi-factor authentication, passkeys, or additional step-up verification based on risk signals. Failure to complete required verification may limit access to the Service.
4. Payment terms
4.1 Paid plans and credits
Certain features require payment. Free accounts may access designated models and features subject to monthly usage limits shown in the dashboard. Paid plans may include subscription fees and usage-based credits for premium models or features. Pricing is published on our Pricing page and may change with reasonable notice.
4.2 Billing and taxes
Fees are quoted in U.S. dollars unless otherwise stated and are non-refundable except where required by law. You are responsible for applicable taxes. Unused credits from a paid billing period do not roll over unless we state otherwise. Spending caps and usage alerts are best-effort controls and may not prevent charges for requests already in flight.
4.3 Payment processing
Payments are processed by Stripe, Inc. and its affiliates. By purchasing a paid plan, you also agree to Stripe's applicable terms and privacy policy. We do not store full payment card numbers on our servers.
4.4 Subscriptions
Subscriptions renew automatically for successive periods unless cancelled before the renewal date through your billing settings or by contacting us. Cancellation stops future charges but does not entitle you to a refund for the current period except as required by law.
4.5 Delinquent accounts
We may suspend or terminate access to paid features if fees are overdue. If payment cannot be collected on renewal, we may downgrade or close your account after reasonable notice where practicable.
5. Ownership and licenses
Shape and its licensors own all rights in the Service, including software, branding, documentation, and underlying technology. No rights are granted except as expressly stated in these Terms.
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation.
We may collect and use technical logs and usage metrics about how the Service is accessed and used, provided such data is aggregated or de-identified when disclosed to third parties and does not identify you except as needed to operate your account.
6. Third-party services
The Service may integrate with third-party providers, including model providers, MCP servers, Skills, extensions, git hosts, and payment processors. Your use of third-party services is governed by their terms. Shape does not control and is not responsible for third-party services, and their availability may change without notice.
7. Communications
We may send service-related emails, security notices, and product updates. You may opt out of promotional messages using unsubscribe links where provided. Some transactional or legal notices cannot be opted out of while you maintain an account.
8. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, provide additional notice through the Service or by email. Continued use after changes become effective constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
9. Termination
You may close your account at any time from dashboard settings. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or if required by law. We may also discontinue the Service or any part of it with reasonable notice where practicable.
Upon termination, your right to use the Service ends immediately. We may delete account data within a reasonable period, typically within 30 days, except where retention is required by law or for legitimate business purposes such as billing records and fraud prevention. Sections that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, limitations of liability, and dispute provisions.
10. Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time. We are not liable for any modification, suspension, or discontinuation. You should maintain your own backups of important Content and projects.
11. Copyright complaints
If you believe content on the Service infringes your copyright, contact us through Contact with: (a) identification of the copyrighted work; (b) identification of the material claimed to be infringing and its location; (c) your contact information; (d) a statement of good-faith belief that use is unauthorized; and (e) a statement, under penalty of perjury where applicable, that your notice is accurate and you are authorized to act on behalf of the owner. We may remove or disable allegedly infringing material and terminate repeat infringers where appropriate.
12. Privacy
Our collection and use of personal data is described in the Privacy Policy. By using the Service, you acknowledge that we will process personal data as described there.
13. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Shape and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Content, your violation of these Terms, or your violation of any law or third-party right.
14. Disclaimer of warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SHAPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHAPE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SHAPE FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
16. Dispute resolution
Before filing a claim, you agree to contact us through Contact and attempt to resolve the dispute informally. If we cannot resolve a dispute within 60 days, you agree that disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration or in the courts specified below, except that either party may seek injunctive relief for misuse of intellectual property or unauthorized access to the Service.
If you are a consumer in a jurisdiction that grants you mandatory rights to bring claims in local courts, nothing in this section limits those non-waivable rights.
17. General
These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and Shape regarding the Service. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect.
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict of law principles, except where mandatory consumer protection laws in your country of residence require otherwise.
